2. Nature of the Relationship
2.1. The Partner participates in the Program strictly as an independent, self-employed marketing affiliate. Nothing in this Partner Agreement, the Program, or any communication from TradoCademy creates an employment relationship, agency, joint venture, franchise, partnership in the corporate or legal sense, or any relationship other than that of independent contractor and referrer.
2.2. The Partner shall bear full personal legal and financial responsibility for any such misrepresentation, including liability for any resulting loss, claim, regulatory action, or damage suffered by TradoCademy or any third party, and shall indemnify TradoCademy in accordance with Section 13.
3. Eligibility and Registration
Applicants must be at least 18 years of age and have full legal capacity to enter into binding agreements.
Applicants must submit accurate and complete registration information, including full name, username, account email, payment email, website or promotional URL (where applicable), and a description of their intended promotional methods.
TradoCademy reserves the sole and absolute discretion to approve, reject, suspend, or revoke any partner application or account, including without providing a reason, in particular where the applicant's proposed promotional methods are inconsistent with this Partner Agreement or TradoCademy's brand standards.
Each individual or legal entity may hold only one active partner account, unless otherwise agreed in writing with TradoCademy.
4. Partner Obligations โ Product Knowledge and Conduct
4.1. Duty to know the Products. Before promoting any Product, the Partner must familiarize themselves with, and reasonably understand, the nature, scope, limitations, and educational purpose of that Product, including the disclaimers referenced in Section 6. Promotion of a Product the Partner has not reasonably familiarized themselves with is a material breach of this Partner Agreement.
4.2. Honest and lawful promotion. The Partner shall promote TradoCademy only through honest, non-misleading marketing that complies with applicable law, including the Bulgarian Consumer Protection Act, Bulgarian Electronic Commerce Act, and, where applicable to the Partner's activity, Directive 2005/29/EC on unfair commercial practices and Regulation (EU) 2016/679 (GDPR).
4.3. Without limitation, the Partner shall not:
send unsolicited bulk email ("spam") or unsolicited direct messages to promote TradoCademy;
make false, exaggerated, or misleading statements about TradoCademy, its Products, or achievable results, including any guarantee or implication of guaranteed profit, income, or trading performance;
bid on, register, or use domain names, social media handles, or paid search keywords that are identical or confusingly similar to "TradoCademy" or its trademarks;
engage in cookie-stuffing, forced clicks, incentivized or fraudulent sign-ups, self-referrals, or any other artificial inflation of referral activity;
represent, imply, or allow a third party to believe that the Partner is an employee, officer, or authorised spokesperson of TradoCademy;
use aggressive, deceptive, or high-pressure sales tactics inconsistent with the educational nature of the Products.
4.4. Disclosure. Where the Partner promotes TradoCademy on social media, blogs, video content, or similar channels, the Partner must clearly and conspicuously disclose the affiliate relationship (e.g. "#ad", "affiliate link", "partner link") in accordance with applicable advertising-disclosure standards in the Partner's jurisdiction of activity.
5. Brand, Trademarks and Company Materials
5.1. TradoCademy grants the Partner a limited, non-exclusive, non-transferable, revocable license to use the Referral Link and any Company Materials expressly approved by TradoCademy, solely for the purpose of promoting the Program during the term of this Partner Agreement.
5.2. The Partner shall not modify, distort, or create derivative works from TradoCademy's name, logo, or trademarks, and shall not use them in any manner that suggests sponsorship, endorsement, employment, or partnership beyond what is expressly permitted here.
5.3. The Partner shall not represent, promote, or hold out the materials, strategies, or intellectual property of TradoCademy as their own, and shall not represent themselves to any third party as having authority to act for, contract on behalf of, or officially represent TradoCademy in any capacity beyond referral marketing under this Partner Agreement. Any breach of this Section entitles TradoCademy to immediate termination under Section 10 and to pursue all available legal remedies, including damages.
6. Educational Purpose โ No Investment Advice
6.1. The Partner acknowledges and agrees that all TradoCademy Products โ including courses, the TradingView indicator, and the Discord community โ are provided strictly for educational and informational purposes.
6.2. TradoCademy is not an investment intermediary, financial advisor, broker, or asset manager. No content, strategy, or material made available by TradoCademy constitutes investment, financial, or trading advice, and no results are guaranteed. The strategies taught are developed and applied by professionals with more than fifteen years of market experience; however, past performance does not guarantee future results, and any individual's outcome depends on factors outside TradoCademy's and the Partner's control.
6.3. The Partner shall not, in any promotional material or communication, state or imply that TradoCademy's Products guarantee profit, income, or specific trading results. Any breach of this Section is treated as a misrepresentation under Sections 2.3 and 5.3.
7. Commission Structure
7.1. The Program operates on a multi-level structure. A Partner earns Commission on (a) subscriptions purchased by their direct Referred Customers ("Level 1"), and (b) subscriptions generated by Partners within their Network whom they have directly or indirectly recruited ("Level 2 and below"), for as long as the underlying subscriptions remain active.
7.2. Commission is calculated as a percentage of active, paid subscription revenue attributable to the Partner's Network, according to the following volume-based tiers (based on the number of active referred subscriptions within the Partner's Network):
1 โ 50 active subscriptions: 7% commission
51 โ 70 active subscriptions: 8% commission
71 โ 90 active subscriptions: 9% commission
91 โ 150 active subscriptions: 10% commission
150+ active subscriptions: 15% commission
7.3. Commission accrues only on completed, non-refunded, non-charged-back payments actually received by TradoCademy. TradoCademy reserves the right to reverse or withhold Commission attributable to refunded, disputed, fraudulent, or policy-violating transactions.
7.4. The Program is a legitimate referral / multi-level marketing structure under which Commission is generated exclusively from the sale of genuine educational Products to real end customers. No Commission, bonus, or benefit under the Program is, or shall be, contingent upon the recruitment of new Partners, the payment of any sign-up or participation fee by a recruit, or any consideration unrelated to an actual, genuine sale of a Product to an end user. This Section is intended to ensure the Program's compliance with Bulgarian and EU law concerning pyramid promotional schemes, including Annex I, point 14 of Directive 2005/29/EC.
7.5. TradoCademy may, at its discretion, amend commission tiers or percentages prospectively, with reasonable notice to active Partners published on the website or communicated by email. Amendments apply to Commission accruing after the effective date of the change.
8. Commission Payment
Commission is calculated on a monthly basis for the preceding calendar month and paid between the 10th and the 20th day of the following month, subject to Section 7.3.
Commission is paid to the payment email or payment method designated by the Partner during registration. The Partner is solely responsible for the accuracy of this information; TradoCademy is not liable for payments misdirected due to inaccurate or outdated Partner details.
The Partner is solely responsible for declaring and paying any taxes, social security contributions, or other statutory charges applicable to Commission income in their jurisdiction of tax residence. TradoCademy does not withhold taxes on behalf of Partners unless required to do so by mandatory law.
Where a minimum payout threshold applies, it will be published in the Partner dashboard; unpaid balances below the threshold carry over to the following payment cycle.
9. No Guarantee of Earnings
9.1. The Partner acknowledges that Commission earnings depend entirely on the Partner's own marketing efforts, audience, market conditions, and the independent purchasing decisions of third parties. TradoCademy makes no representation, warranty, or guarantee as to any minimum or expected level of Commission, income, or earnings from participation in the Program.
9.2. Past earnings of any Partner, whether disclosed by TradoCademy or by other Partners, are not indicative of future results and shall not be relied upon as a projection or guarantee.
10. Term and Termination
10.1. Termination by the Partner. A Partner may terminate participation in the Program at any time by written notice to TradoCademy. Termination is effective upon receipt of notice; no new Commission accrues after that date, though Commission already earned and vested prior to termination remains payable per the ordinary schedule in Section 8, subject to Section 7.3.
10.2. Termination by TradoCademy. TradoCademy may suspend or terminate a Partner's participation immediately and without prior notice where the Partner:
breaches this Partner Agreement, including any provision of Sections 2, 4, 5, 6, or 7.4;
misrepresents TradoCademy, its Products, or their own authority or affiliation with TradoCademy;
engages in fraudulent, deceptive, or unlawful conduct in connection with the Program;
damages, or is reasonably likely to damage, the reputation, brand, or business of TradoCademy;
otherwise violates applicable law in connection with their promotional activity.
10.3. Upon termination for any reason: (a) the Partner's Referral Link is deactivated; (b) the license granted under Section 5.1 terminates immediately; (c) the Partner must immediately cease all use of Company Materials and any reference suggesting an ongoing relationship with TradoCademy; and (d) TradoCademy may withhold any Commission directly attributable to the conduct giving rise to termination under Section 10.2.
11. Confidentiality
The Partner shall treat as confidential any non-public information, strategy, pricing, or material shared by TradoCademy in connection with the Program, and shall not disclose such information to third parties during or after the term of this Partner Agreement, except as required by law.
12. Intellectual Property
All content, trademarks, strategies, indicators, courses, and other materials made available by TradoCademy remain the exclusive property of TradoCademy or its licensors at all times. Nothing in this Partner Agreement transfers any ownership right to the Partner.
13. Limitation of Liability and Indemnification
13.1. To the maximum extent permitted by applicable law, TradoCademy shall not be liable to the Partner for any indirect, incidental, consequential, or special damages, including loss of anticipated Commission, arising out of or in connection with the Program or this Partner Agreement.
13.2. The Partner shall indemnify, defend, and hold harmless TradoCademy, its officers, directors, and employees from and against any claim, liability, loss, damage, fine, or expense (including reasonable legal fees) arising out of or relating to: (a) the Partner's breach of this Partner Agreement; (b) any misrepresentation of TradoCademy, its Products, or the Partner's authority, as described in Sections 2 and 5; (c) the Partner's promotional content or conduct; or (d) the Partner's violation of applicable law.
14. Data Protection
Personal data submitted by the Partner is processed by TradoCademy in accordance with its Privacy Policy and Regulation (EU) 2016/679 (GDPR). Where a Partner processes personal data of Referred Customers or prospects in the course of their promotional activity, the Partner acts as an independent data controller for that processing and is solely responsible for their own compliance with applicable data protection law.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, governmental action, internet or platform outages (including outages of TradingView or Discord), or other events of force majeure.
16. Governing Law and International Application
16.1. Bulgarian law. This Partner Agreement is governed by, and shall be construed in accordance with, the laws of the Republic of Bulgaria, being the law of the country in which TradoCademy is established and with which the Program is most closely connected.
16.2. Cross-border Partners. Where a Partner is resident or established outside Bulgaria, the parties agree that Bulgarian law governs this Partner Agreement pursuant to the parties' choice of law under Article 3 of Regulation (EC) No 593/2008 ("Rome I"), and, in the absence of such choice, Bulgarian law would in any event apply as the law of the country where TradoCademy, as the party effecting the characteristic performance of the Program, has its habitual residence, under Article 4 of Rome I. For Partners established outside the European Union, the parties intend this choice of law to be given effect under the private international law rules applicable in the Partner's jurisdiction to the extent permitted by that jurisdiction's mandatory rules of public policy.
16.3. Jurisdiction and dispute resolution. The parties shall first attempt to resolve any dispute arising out of or in connection with this Partner Agreement amicably through good-faith negotiation. Failing amicable resolution, the dispute shall be submitted to the competent courts of Sofia, Bulgaria, save that TradoCademy may, at its sole election, refer a commercial dispute to arbitration before the Arbitration Court at the Bulgarian Chamber of Commerce and Industry, whose award shall be final and binding on both parties.
17. Amendments to the Program
TradoCademy may amend this Partner Agreement or any aspect of the Program (including commission tiers under Section 7.5) at any time. The current version is published on the TradoCademy website. Continued participation in the Program after the effective date of any amendment constitutes acceptance of the amended terms. Where an amendment is material, TradoCademy will use reasonable efforts to notify active Partners in advance.
18. Miscellaneous
Entire agreement: this Partner Agreement, together with the Company's general Terms of Use and Privacy Policy, constitutes the entire agreement between the parties regarding the Program.
Severability: if any provision is found unenforceable, the remaining provisions remain in full force and effect.
No waiver: failure to enforce any provision is not a waiver of the right to do so later.
Assignment: TradoCademy may assign this Partner Agreement in connection with a merger, acquisition, or sale of assets; the Partner may not assign their rights or obligations without TradoCademy's prior written consent.
Language: in the event of any conflict between language versions of this Partner Agreement, the Bulgarian-language version shall prevail for Partners resident in Bulgaria, and the English-language version shall prevail for all other Partners, unless otherwise required by mandatory local law.
